Memorandum and Articles of Association

The following documents are completed when forming a company:

  • Memorandum of Association. This is a legal statement signed by all initial shareholders agreeing to form the company. In the case of a company that is to be limited by shares, the memorandum will also provide evidence of the members' agreement to take at least one share each in the company.
  • Articles of Association. These are the written rules about running the company, agreed by the shareholders, directors and the company secretary.

Memorandum of Association

For electronic incorporations, a standard Memorandum of Association will be generated automatically by Companies House from the information contained within the electronic incorporation submission.

From 19 May 2021, it will no longer be possible to include a bespoke Memorandum of Association in electronic incorporations.

Following successful incorporation, Companies House will supply a copy of the Memorandum of Association. To view or print the document, select ‘Print Incorporation Form’ within Check & Finish.

If the company is being incorporated by post using form IN01, the memorandum of association template referenced below can be used, please note that once the company has been incorporated, the memorandum will no longer affect the ongoing operations of the company and cannot be amended.

Articles of Association

By default, TaxCalc will apply the standard articles of association (known as ‘model articles’) however,  if you wish to amend the model articles (Companies House model articles with additions) or attach your own bespoke articles, the options are available in the drop down menu on the ‘Articles and Attachments’ screen.
